Bullish has agreed to acquire Equiniti in a $4.2 billion deal, absorbing $1.85 billion of the transfer agent’s existing debt and paying the remainder in Bullish shares valued at $38.48 each.
Deal Structure and Financial Impact
The acquisition marks a significant move for Bullish, a crypto exchange expanding into traditional financial services. Under the terms of the agreement, Bullish will take on Equiniti’s $1.85 billion debt, while the remaining consideration will be paid in Bullish shares. The deal comes as Bullish’s stock slid roughly 6% in premarket trading Tuesday.
Siris Capital, the private equity firm that took Equiniti private in 2021, will receive two seats on Bullish’s board as part of the transaction. The combined platform is expected to generate about $1.3 billion in adjusted total revenue for 2026, with adjusted EBITDA less capital expenditure projected at more than $500 million.
