According to preliminary figures, the Foxconn subsidiary Ennoconn has narrowly missed the threshold for a voting majority in its takeover bid for the Linz-based industrial computer manufacturer Kontron.

Background on the offer

According to the company's own statements, the offer was deliberately calibrated to merely exceed the 30-percent threshold in order to avoid a later mandatory offer, as can be seen from the public statements by the Taiwanese group. This threshold is relevant in takeover regulations because exceeding certain ownership limits triggers further obligations toward shareholders.

As of Monday, the proportion of Kontron shares tendered is thus below the mark required for a simple majority. Neither Ennoconn nor Kontron had published detailed interim results quantifying the exact acceptance level at the time of the report. Industry observers view the result as evidence that major shareholders and family offices did not tender their stakes.
