German snack group Intersnack is acquiring NYSE-listed US snack manufacturer Utz Brands for $14.25 per share and intends to continue running the company together with the founding families.
A billion-dollar deal with a hefty premium
The Intersnack Group, a subsidiary of Cologne-based sugar and confectionery producer Pfeifer & Langen, announced the billion-dollar deal on Tuesday in Düsseldorf. Under the agreement, Intersnack will acquire all outstanding Class A common shares of Utz Brands for $14.25 in cash per share. This represents a premium of approximately 91 percent over Monday's closing price. According to investing.com, the transaction values Utz Brands at around $2.9 billion including debt.
On Tuesday, Utz Brands shares jumped 88.72 percent in pre-market trading to $14.06, bringing the price to within a cent of the official offer price of $14.25. After the closing, the Utz Brands stock will disappear from the NYSE.
