Rocket Lab to acquire satellite operator Iridium for around eight billion US dollars

To finance the cash portion, Rocket Lab secured commitments for a bridge loan of 3.6 billion US dollars from Deutsche Bank and Wells Fargo. The company also said that, in addition to additional debt and equity financing, it would use existing cash on hand.

What Rocket Lab acquires with the network

With the deal, Rocket Lab also takes over Iridium's network. Iridium Communications currently operates a constellation of 66 satellites in low Earth orbit (LEO), which can be used to connect mobile phones and other devices. Through the deal, Rocket Lab also acquires a customer base of more than 2.55 million subscribers as well as Iridium's ecosystem of more than 500 partners.

The frequency rights the company holds to connect these devices with its satellites can be used worldwide, which makes them particularly valuable, according to the Wall Street Journal. Iridium's L-band spectrum is globally harmonized and, as the company describes it, forms a secure and resilient foundation for reliable satellite communications in the government, defense, aviation, maritime, and commercial sectors.

The goal is to build a competitive, vertically integrated space company that designs, builds, launches, and operates its own satellite constellations. Through the acquisition, Rocket Lab gains access to both proprietary and standards-based satellite IoT and Direct-to-Device (D2D) services, PNT (Positioning, Navigation, and Timing), as well as critical safety services.

Statements from the top executives

Iridium Communications is headquartered in McLean, Virginia, in the Washington metropolitan area. Rocket Lab, headquartered in Long Beach, California, operates a rocket launch site in New Zealand. A takeover offer for Iridium had been expected on the market since last year, an industry expert told Golem. Most recently, Iridium's management had also made corresponding hints.

Other interested parties and competitors

Alongside Rocket Lab, Amazon, Blue Origin, and SpaceX in particular were considered strategic interested parties. Amazon was seen as an obvious candidate after the company had only announced the acquisition of Globalstar in April. Amazon wants to acquire the satellite communications pioneer Globalstar for its Leo satellite plans. By acquiring Iridium, Amazon could have strategically complemented the adjacent Globalstar spectrum and significantly strengthened its position in the direct-to-device market.

Blue Origin also came into consideration as a buyer after the company had recently announced its own satellite constellation with Terawave. SpaceX, in turn, is already pushing aggressively into the D2D market and in September had acquired spectrum usage rights from Echostar worth around 17 billion US dollars. SpaceX secured, among other things, the spectrum holdings of EchoStar. However, these rights are not fully secured from a regulatory standpoint everywhere and are currently being called into question, at least in part, in Europe.

Consolidation in the satellite industry

The acquisition is part of a broader wave of consolidation in the satellite industry: the Luxembourg-based satellite operator SES completed the takeover of Intelsat last year. Industry observers therefore see the Rocket Lab deal as an indicator that competition for spectrum rights and direct device connectivity will continue to intensify.
