Milan/Frankfurt, June 02, 2026

Italian banking giant UniCredit has crossed the 30 percent threshold in its takeover battle for Commerzbank, now holding 34.35 percent of the Frankfurt-based bank's shares.

According to UniCredit, 7.58 percent of Commerzbank's share capital was tendered as part of its takeover offer. Combined with the 26.77 percent previously held, this increases the Milanese financial institution's stake to 34.35 percent, the company announced in Milan on Tuesday. This clearly surpasses the 30 percent mark, which is relevant for certain regulatory thresholds.

In addition to the direct shareholding, UniCredit can acquire another 3.22 percent by exercising purchase options. Furthermore, there are derivatives in the form of total return swaps with cash settlement, which UniCredit recently expanded to 13.19 percent. These agreements can typically be restructured so that UniCredit receives Commerzbank shares instead of a cash settlement. In total, UniCredit could potentially reach a stake of up to 50.8 percent.
