In the dispute over Commerzbank, CEO Bettina Orlopp made clear that the Italian UniCredit needs more than just a majority of shares for a full integration of the Frankfurt-based bank.

Status of the takeover

The Commerzbank chief commented on the status of the takeover offensive from Milan in an interview with the Frankfurter Allgemeine Zeitung (FAZ). UniCredit had announced on Wednesday that it had secured more than 47 percent of Commerzbank through its takeover offer, including financial instruments. Together with the 26.77 percent that the major bank from Milan already held before the offer, UniCredit's direct stake thus rises to just over 44 percent.

In addition, the Italians have access to more than three percent of Commerzbank shares via call options, which would bring them to more than 47 percent according to their own figures. The 47.59 percent stake corresponds to 49.65 percent of Commerzbank's voting rights, since Commerzbank's own shares are not entitled to vote. UniCredit stated that the result significantly exceeded its own expectations.
