Marinomed Biotech AG Files for Court Restructuring Proceedings Again

According to the Alpenländischer Kreditorenverband (AKV) and Kreditschutzverband von 1870 (KSV1870), the new insolvency affects 30 employees and 87 creditors with claims totaling EUR 22.68 million. Of the original 30 percent plan from 2024, 20 percent has already been paid out; the remaining third of the original claims has revived and triggered the new insolvency.

Impact on Shareholders and Trading

The main reasons cited for the renewed insolvency are the failure of significant earn-out payments from the sale of the Carragelose business and the capital-intensive financing requirements of the research-driven biotech business. The financing of the first restructuring plan had been based on the expected earn-out payments, which did not materialize.

Negotiations with the contractual partner for the Carragelose deal were abruptly broken off shortly before the filing, according to AKV/KSV1870. However, Marinomed retains claims from the sale of the Carragelose business.

The company intends to continue operations and propose a second restructuring plan with a quota of 20 percent. The funds required for the new 20 percent quota are to come, according to KSV1870 and AKV, from the continuation of operations, the further commercialization of existing products, restructuring measures, and the enforcement of existing claims.

At the same time, Marinomed Biotech AG is postponing the publication of the 2026 Half-Year Financial Report, scheduled for 16 September 2026. Raiffeisen Bank International has terminated the existing contract for the provision of liquidity services (market making) with immediate effect.

The Management Board is working to promptly arrange a successor mandate for the market making and to restore the usual liquidity in trading of the share. Due to the sudden loss of the market making, there may be short-term lower liquidity in the trading of the shares as well as wider bid-ask spreads; however, the tradability of the share at the respective stock exchange venues remains fundamentally intact.
