United Kingdom Considers Intervention in Paramount's Takeover of Warner Bros Discovery

Nandy, who is considered an ally of Andy Burnham, who is set to become the United Kingdom's next Prime Minister in July, announced that she intended to conclude the review swiftly. She also noted that she had set the companies involved a deadline of 6 July to respond to her concerns. In her own words she said: "I am mindful of the need to reach a final decision in a timely manner and I will endeavour to do so as appropriate."

Possible Referral to the Competition Authority

Should London indeed intervene, the case could be referred to the British competition authority. The authority last made headlines in 2023, when it blocked Microsoft's $69 billion takeover of the games maker Activision Blizzard – a decision that drew sharp criticism from the two US companies. Should the British competition authority also have concerns in the Paramount/Warner case, the deal could be further delayed or come with conditions.

The British government's concern focuses primarily on three areas: the news market, as Warner is one of the major providers with CNN and other broadcasters; children's television, where Warner has Cartoon Network and related brands; and the streaming market, where Warner is one of the global heavyweights with Max. A takeover by Paramount Skydance could alter the competitive structure in these segments.

Three Areas in Focus

Paramount Skydance had pushed ahead with the takeover plans in recent months, repeatedly emphasising that the deal raised no competition-law issues. Approval from US regulators and Chinese competition authorities was seen as an important milestone. A British intervention would change the picture, particularly as the London authorities have repeatedly taken measures diverging from takeovers in the past.

Market observers view the move as a further sign that London is pursuing an independent industrial policy even after Brexit. The United Kingdom has repeatedly intervened in global tech and media mergers in recent years, including the aforementioned Activision decision. The developments are also likely to be watched closely in Brussels, as the EU retains its own competition-law competences.

Brexit and Independent Industrial Policy

Should the British government indeed refer the case to the competition authority, a months-long review process would be likely. The authority could propose conditions, such as the separation of certain business divisions, or prohibit the takeover altogether. Either route would significantly delay the timetable for the deal, which was originally set to be completed this year.

For those involved, uncertainty remains for the time being. While Paramount is pushing for a swift conclusion, the British side has made clear that it prefers a thorough review over the timetable. The 6 July deadline gives both sides the opportunity to set out their position in writing before the minister reaches a final decision.
