US Federal Judge Halts Paramount's Takeover of Warner Bros Discovery for Now

Judge's Reasoning

The plaintiffs invoke a federal law that prohibits mergers if they could substantially lessen competition. They argue the already-approved takeover would lead to "higher prices, lower quality, and fewer choices" for audiences. In addition, competition in popular films would be distorted, thereby putting pressure on cinemas.

The federal states had previously seen the takeover approved: The Department of Justice concluded that the merger would "likely not result in harm to competition and American consumers" – both in the TV and streaming business as well as in film production. The US government had approved the billion-dollar deal in June without conditions, and shareholders had approved the transaction at the end of April.

According to the Wall Street Journal, the takeover was pushed through by the department's leadership before the agency's responsible lawyers could issue a recommendation on it. Paramount and Warner had signed the agreement at the end of February, after streaming service Netflix dropped out of the takeover bidding. Originally, Netflix had reached an agreement with Warner the previous year to purchase the streaming and studio business of the industry heavyweight.

But Paramount persisted and submitted a higher bid for the entire Warner Bros. Discovery conglomerate – including television channels such as CNN. Behind Paramount stands the family of software billionaire Larry Ellison, who is known as a supporter of President Donald Trump. Paramount CEO David Ellison and his father Larry Ellison of software provider Oracle are considered supporters of the president.

Concerns About CNN's Editorial Independence

Trump had repeatedly said it was particularly important to him that the news channel, which often reports critically about him, also changes hands in a Warner deal. Trump critics in the US fear that CNN could lose its editorial independence under Paramount's umbrella – as has already happened in other cases where media companies were taken over by billionaires loyal to the president.

The court will decide in the coming two weeks whether the takeover will remain suspended beyond the current halt. Until then, the planned merger and all related steps remain on ice.
